COMBINED TERMS OF SERVICE - EMAIL SIGNATURE RESCUE & SIGSTUDIO

Our Disclosures (Summary Only)

The full Terms appear below, but important points include:

  • Your subscription (Membership) auto-renews unless cancelled.
  • You are responsible for your Authorised Users and their actions.
  • Our total liability is limited to the amount you paid in the 12 months prior to the claim.
  • We are not liable for Third Party Service failures (e.g., Outlook, Gmail, browsers, CRMs, internet providers).
  • We may change or discontinue features at any time.
  • We may terminate your Membership with 30 days’ notice.
  • We may receive commissions from third-party tools linked on our websites or in our applications.
  • Nothing in these Terms limits your rights under the Australian Consumer Law.

1. Introduction

These Terms of Service (“Terms”) are entered into between LoadOut Pty Ltd (“we”, “us”, “our”) and you, being the individual or entity that registers for an account on:

  • Email Signature Rescue (ESR)
  • SigStudio

and any associated:

  • Browser extensions
  • Desktop installer applications (Windows & macOS)
  • Outlook add-ins
  • Free HTML paste installers
  • Custom-built enterprise tools

(collectively, the Platform).

If you use the Platform on behalf of an organisation, you warrant that you are authorised to bind that entity to these Terms.

2. Acceptance and Platform Licence

You accept these Terms when you:

  • Check a box agreeing to the Terms
  • Create an account
  • Install or use any of our applications or extensions
  • Use the Platform in any capacity, including free installer tools

Age Requirement

You and your Authorised Users must be at least 16 years old.

Changes to Terms

We may update these Terms by providing written notice. Continued use of the Platform after 30 days constitutes acceptance.

Licence Granted

We grant you a non-exclusive, non-transferable, revocable, worldwide licence to use the Platform for email signature creation, management, deployment and installation, subject to these Terms.

All other uses are prohibited without written consent.

Prohibited Conduct

You must not (and must ensure Authorised Users do not):

  • Upload personal data without consent
  • Harass, threaten or defame users
  • Reverse engineer, tamper with or modify the Platform
  • Use bots, crawlers or data-mining tools
  • Attempt to circumvent security or technical limitations
  • Use the Platform for unlawful or competing purposes
  • Facilitate third-party misuse

3. Services Provided (ESR & SigStudio)

In exchange for payment of applicable Fees, we provide:

  • Access to the ESR and/or SigStudio Platforms
  • Access to templates, signature building tools and management features
  • Access to free or paid installation tools (browser extension, Outlook add-in, installers)
  • Support services via ticketing
  • Access to additional enterprise tools where applicable

Availability

We will make reasonable efforts to keep the Platform available, but scheduled and emergency maintenance may occur.

Third Party Services

The Platform integrates with third-party services we do not control, including:

  • Email clients (Outlook, Gmail, Apple Mail)
  • Browsers and extension frameworks
  • Cloud storage providers
  • Internet providers
  • CRMs and SSO tools
  • Stripe and payment processors

We are not liable for failures or outages caused by these Third Party Services.

Data Loss

You must maintain your own backups of data uploaded into ESR or SigStudio.

We are not liable for loss or corruption of data.

4. Accounts

To use most Services, you must create an Account.

You must provide accurate and complete information and keep it updated.

Each Authorised User requires their own login.

You are responsible for:

  • All actions taken under your Account
  • Ensuring Authorised Users comply with our Terms and EULA
  • Maintaining confidentiality of passwords

All personal data is processed in accordance with our Privacy Policy.

5. Memberships & Payments

Paid Memberships are available for both ESR and SigStudio.

Membership Periods & Renewals

Memberships renew automatically (monthly or annually depending on plan type).

Fees

Fees are listed on the Platform or your custom enterprise Agreement.

Fees may change with 30 days’ notice.

Payment Processing

Payments may be processed via:

  • Stripe
  • PayPal
  • Other approved payment providers

We do not store credit card details.

Changing Membership Tiers

Upgrades and downgrades take effect immediately and are prorated.

Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

6. Authorised Users

You may invite Authorised Users to your Account.

You are responsible for:

  • Their actions
  • Their compliance with Terms, Privacy Policy and EULA
  • Ensuring only legitimate personnel retain access

Access may be suspended for suspected misuse.

Authorised Users must agree to our End User Licence Agreement (EULA).

7. Intellectual Property

All intellectual property in:

  • ESR & SigStudio
  • Templates
  • Icons, assets & design elements
  • Applications & installers
  • HTML generating systems
  • Algorithms & analytics
  • Documentation

remains solely owned by LoadOut Pty Ltd.

You are granted a licence to use our IP ONLY to generate, manage and install email signatures during an active paid Membership.

You must not copy, distribute, resell or repurpose our IP for competing products.

This includes scraping or exporting templates without permission.

This clause survives termination.

8. Your Data

“You own Your Data.”

You grant us a licence to process Your Data in order to:

  • Provide ESR/SigStudio
  • Generate signatures
  • Run installers
  • Troubleshoot issues
  • Improve the Platform
  • Perform anonymised analytics
  • Provide support

You represent that:

  • You have rights to the data you upload
  • Your Data does not infringe on third-party rights
  • Your organisation is compliant with local privacy laws governing signature content

We do not endorse Your Data and are not responsible for incorrect or incomplete information you or your users provide.

9. Warranties

You warrant that:

  • You will not compete with ESR/SigStudio using our IP
  • You provide accurate Account information
  • You have legal capacity to enter into these Terms
  • You understand the Platform may change over time

All services are provided “as is”, except as required under the Australian Consumer Law.

10. Liability

To the maximum extent permitted by law:

  • You indemnify us for breaches of the Licence or IP clauses
  • Neither party is liable for Consequential Loss
  • Liability is reduced proportionately where the other party contributed to the loss
  • Our total liability is capped at the Fees you paid in the previous 12 months

This clause survives termination.

11. Termination

You may cancel at any time via your Account settings.

Cancellation may occur:

  • Immediately, or
  • At the end of your current billing period

We may terminate with 30 days’ notice.

We may suspend or terminate immediately if you breach the Terms.

Following termination:

  • Your access will be removed
  • No refunds are provided except as required by law or outlined in the Refund Policy
  • You must cease using all ESR/SigStudio proprietary assets

12. General

  • Assignment: Requires written consent except for debt assignment.
  • Disputes: Must mediate before litigation.
  • Entire Agreement: Supersedes all prior agreements.
  • Force Majeure: Not liable for events outside our control.
  • Governing Law: South Australia, Australia.
  • Notices: Via email or postal mail.
  • Publicity: We may list your company as a customer unless you request otherwise.
  • Third-Party Links: We are not responsible for third-party content.

13. Definitions

(Updated to include SigStudio + installers + cross-platform concepts)

  • Platform: ESR, SigStudio and all associated software, installers and tools
  • Membership: Your subscription plan
  • Authorised Users: Individuals permitted to access your Account
  • Third Party Services: Non-LoadOut systems integrated with ESR/SigStudio
  • Signature: Any email signature generated, installed or managed via the Platform
  • Your Data: Data you or your users upload or create within ESR/SigStudio
  • Consequential Loss: As defined in the original text
